Conveyor Terms of Service Effective date: 2019/02/12 These Terms of Service (the "Terms") govern your use of the developer tunneling service provided by Keyoti Inc., a Canada company ("we," "us," or "our"), including the website located at https://conveyor.cloud (the "Site") and the related software, applications, features, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an entity, you are agreeing to these Terms for that entity and representing to us that you have the authority to bind that entity to these Terms. 1. Acceptance of Terms 1.1. Agreement: You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and must discontinue use immediately. 1.2. Changes to Terms: We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Effective Date" of these Terms, and you waive any right to receive specific notice of each such change. 2. Service Description The Service is a developer tunneling tool that allows web connections to be tunneled from a public URL to the developer's machine. The "Service" includes the Site, client software, API, and associated services and features. 3. User Accounts and Access 3.1. Registration: To use certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. 3.2. Security: You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately if you suspect or become aware of any unauthorized use of your account. 3.3. License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business or personal development purposes. 4. Acceptable Use Policy 4.1. Prohibited Uses: You agree not to use the Service: In any way that violates any applicable local, national, or international law or regulation. To transmit or tunnel any material that is infringing, libelous, defamatory, offensive, obscene, or otherwise objectionable. To distribute, or send any malicious software, viruses, or other harmful materials. To host or transmit any content that infringes upon the intellectual property rights of others. To attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service. To interfere with or disrupt the integrity or performance of the Service. 4.2. Tunneling Specifics: Given the nature of a tunneling service, you specifically agree that you will not use the Service to: Host or facilitate the operation of public-facing commercial websites or applications without an explicit enterprise agreement with us. Conduct any form of network-probing, scanning, or distributed denial-of-service (DDoS) attacks. Serve as a general-purpose public proxy or VPN service. 4.3. Monitoring and Enforcement: We reserve the right, but not the obligation, to monitor your use of the Service for compliance with this policy. We may suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this section. 5. Fees, Payment, and Subscription 5.1. Fees: You agree to pay all fees for the Service as specified on our pricing page or in a separate Order Form ("Fees"). All Fees are non-refundable. 5.2. Billing and Renewals: Subscriptions are billed on a recurring basis (e.g., monthly or annually). Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew, and you authorize us to charge your payment method for the renewal term. 5.3. Taxes: You are responsible for all sales, use, and other taxes and duties associated with the purchase of the Service. 6. Intellectual Property Rights 6.1. Our Ownership: The Service, including all software, code, technology, content, graphics, and user interfaces, is the property of Keyoti Inc. and its licensors and is protected by intellectual property laws. 6.2. User Content: You retain all ownership rights in the data, files, and content that you transmit through the Service ("User Content"). You grant us a worldwide, royalty-free, non-exclusive license to distribute the User Content solely for the purpose of operating and providing the Service to you. 7. Warranties and Disclaimers 7.1. DISCLAIMER: THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 7.2. SERVICE RELIABILITY: WE DO NOT WARRANT THAT (1) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (2) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (3) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. 8. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Keyoti Inc., ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; AND (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. 9. Indemnification You agree to indemnify, defend, and hold harmless Keyoti Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity. 10. Termination We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. 11. Governing Law and Dispute Resolution 11.1. Governing Law: These Terms shall be governed and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions. 11.2. Dispute Resolution: Any dispute arising out of or relating to these Terms will be resolved by binding arbitration in Courtenay, BC, Canada in accordance with the rules of the Canadian Arbitration Association. 12. Miscellaneous 12.1. Entire Agreement: These Terms constitute the entire agreement between you and Keyoti Inc. regarding the use of the Service. 12.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect. 12.3.
